Terms of Service

1. Purpose of the service
Eloquium is a Software-as-a-Service (SaaS) platform operated by Codex Ingenium Holding OÜ, a company incorporated in Estonia (European Union), with registered office in Tallinn. The service provides AI-powered phone assistants that answer calls on behalf of the customer, transcribe conversations, and generate summaries. These Terms govern access to and use of the service available at eloquium-ai.com.
2. Account registration
To use Eloquium the user must create an account by providing truthful and up-to-date information (name, email, company name). The user is solely responsible for maintaining the confidentiality of their credentials and for all activities carried out through their account. In the event of suspected unauthorised access, the user must notify us immediately at hello@eloquium-ai.com. Each base account includes one AI assistant; additional assistants may be activated according to the subscribed plan.
3. Plans and payment
Eloquium offers the following plans: Base, Professional, and Enterprise. Prices are expressed in euros (EUR) and exclude applicable taxes. Payment is made monthly via Stripe. Subscriptions renew automatically at each billing cycle. The user may cancel at any time without penalty; cancellation takes effect at the end of the current paid period, and access to the service remains active until that date.
4. Acceptable use
The user agrees to use Eloquium lawfully and in compliance with these Terms. The following uses are expressly prohibited:
- Sending unsolicited or automated calls (spam, robocalling) in violation of applicable telecommunications regulations.
- Illegal, fraudulent, or deceptive activities.
- Impersonating persons or organisations without their consent.
- Using the service to harass, threaten, or discriminate against individuals.
- Attempting to circumvent security measures, reverse-engineer, or interfere with the operation of the platform.
- Using the service in a manner that could damage the reputation of Eloquium or its sub-processors.
5. Intellectual property
The Eloquium platform, including software, interface, design, trademarks, and documentation, is the exclusive intellectual property of Codex Ingenium Holding OÜ and is protected by applicable intellectual property laws. The user retains full ownership of content uploaded to the platform (documents, configurations, audio files). By uploading such content, the user grants Codex Ingenium Holding OÜ a limited licence to use it solely for the purpose of providing and improving the service.
6. Service availability
Eloquium is provided on a "best effort" basis. We strive to ensure maximum availability but do not guarantee specific uptime levels (SLA). Scheduled maintenance will be communicated via email with at least 24 hours' notice. We are not liable for service interruptions due to force majeure, failures of third-party providers, or circumstances beyond our reasonable control.
7. Limitation of liability
To the maximum extent permitted by applicable law, Codex Ingenium Holding OÜ shall not be liable for indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill. In any event, our total aggregate liability for any claim arising from or related to the service shall not exceed the total amount actually paid by the user in the twelve (12) months preceding the event giving rise to the claim. This limitation does not apply in cases of wilful misconduct or gross negligence.
8. Withdrawal and account cancellation
The user may cancel their account at any time from the dashboard settings or by writing to hello@eloquium-ai.com. Upon cancellation: the subscription is not renewed at the next cycle; access to the service remains active until the end of the paid period; personal data and uploaded content are deleted within 30 days of account closure, except for data subject to statutory retention obligations (e.g. invoicing data retained for 10 years). If the user is a consumer within the European Union, they are entitled to withdraw from the contract within 14 days of subscription without penalty, pursuant to Directive 2011/83/EU, unless the service has already been fully performed with their prior express consent.
9. Governing law and jurisdiction
These Terms are governed by the laws of the Republic of Estonia. Any dispute arising from or relating to these Terms or the service shall be submitted to the exclusive jurisdiction of the courts of Tallinn, Estonia. This choice of jurisdiction does not affect the mandatory consumer protection rights of users who reside in another EU Member State; such users may bring proceedings before the courts of their country of habitual residence.
10. Changes to these Terms
We reserve the right to modify these Terms. In the event of substantial changes, we will notify the user via email at least 30 days before the new Terms take effect. Continued use of the service after the effective date of the changes constitutes acceptance of the new Terms. If the user does not agree to the new Terms, they may cancel their account before the effective date.
